Key Terms
Acceptance of PO: Supplier accepts the Purchase Order and these Terms by acknowledging the PO, beginning work, shipping products, providing services, submitting an invoice, or accepting payment.
Controlling Terms / Rejection of Supplier Terms: Ashburn expressly rejects any additional or conflicting terms in Supplier quotes, invoices, acknowledgments, or online terms unless agreed in writing by an authorized Ashburn representative.
Flow-Down Requirements: Supplier must comply with all applicable customer, government, and prime contract flow-down requirements communicated by Ashburn. These may include security, compliance, and reporting obligations.
Performance Obligations: Supplier must perform in accordance with PO requirements, timelines, and customer obligations. Time is of the essence.
Payment Terms: Payment is made for properly invoiced and accepted work. For customer-funded work, payment may be contingent upon Ashburn receiving payment from the end customer.
Inspection & Acceptance: All work is subject to inspection and acceptance by Ashburn and/or the end customer. Payment does not constitute acceptance.
Warranty: Supplier warrants that all goods and services meet specifications, are free from defects, and comply with applicable laws and requirements.
Intellectual Property: Work product created under the PO is owned by Ashburn unless otherwise stated. Supplier grants rights necessary for Ashburn and its customers to use deliverables.
Confidentiality & Data Security: Supplier must protect all confidential and customer data and comply with applicable security and data protection requirements.
Indemnification: Supplier is responsible for claims arising from its work, including IP infringement, security incidents, and non-compliance.
Limitation of Liability: Supplier liability is limited except for key areas such as indemnity, IP, security, and compliance obligations.
Termination: Ashburn may terminate for convenience or default. Supplier is paid only for accepted work performed.

Key Terms
Order Acceptance: By issuing a purchase order, signing a quote, authorizing work, accepting delivery, using products/services, or paying an invoice, Customer agrees to Ashburn’s Terms and Conditions.
Controlling Terms / Rejection of Customer Terms: Ashburn expressly rejects any additional or conflicting terms in Customer purchase orders, portals, or other documents unless agreed in writing by an authorized Ashburn representative.
Pricing & Validity: Quotes are valid for 30 days unless otherwise stated. Pricing is subject to change based on manufacturer/vendor updates, availability, or configuration changes prior to order acceptance.
Payment Terms: Standard terms are net 30 unless otherwise stated. Late payments may result in interest charges and/or suspension of services.
Third-Party Products & Services: Many products, software, SaaS, and cloud services are provided by third parties and are subject to their respective terms. Ashburn acts as a reseller/integrator and passes through applicable terms and warranties.
Non-Cancellable Orders: Orders for third-party products and subscriptions are generally non-cancellable and non-refundable once placed.
Services: Services are performed in a professional and workmanlike manner. Any work outside defined scope requires written approval and may impact cost and schedule.
Delivery & Risk: Delivery dates are estimates. Risk of loss transfers upon shipment unless otherwise agreed.
Limitation of Liability: Ashburn’s total liability is limited to amounts paid for the specific products or services giving rise to the claim. Indirect and consequential damages are excluded to the maximum extent permitted by law.
Confidentiality: Pricing, proposals, and solution designs are confidential and may not be shared outside Customer’s organization except as required by law.
